B2B and Professional Purchase Terms
Last updated: 10.09.2026.
1. Application and buyer status
These terms apply to a legal person and any other buyer who purchases goods
for the purposes of their business or professional activity. They do not replace
an individual wholesale, distribution, supply or other written agreement; an
individually agreed term takes precedence on the matter it covers.
A consumer is a natural person who purchases goods for a purpose unrelated to
their business or professional activity. The status of a transaction with a
mixed purpose is determined by the actual circumstances and applicable law.
Providing a company name, VAT number or work address is evidence, but is not
in itself the sole criterion for determining status.
A B2B/company order is arranged separately. Before placing a standard online
shop order, the buyer contacts GreenOK by email at [email protected]
or by telephone on +371 29140290 and provides the company name, registration or
taxpayer number, VAT number where applicable, invoicing details, delivery
country/address, the professional or business purpose of the purchase, and
information about the authorised representative. GreenOK prepares a written
quotation, order and invoice, the buyer accepts the applicable B2B terms in
writing, and payment is made by bank transfer. The standard retail checkout
step does not automatically classify an order as B2B or automatically remove VAT.
Falsely stating that the buyer is a company or stating a false purchase purpose
does not in itself confer consumer rights on a transaction actually made for
business or professional activity, or remove those rights from a transaction
actually made as a consumer.
2. Quotation, price, order and payment
Professional/individual prices, quantities, discounts, specifications, time
limits, delivery and payment arrangements are valid only for the period stated
in the written quotation or order confirmation. If a price is stated excluding
VAT, this is clearly indicated and the applicable tax is added.
GreenOK applies a possible 0% VAT treatment to the supply of goods from Latvia
to a Lithuanian or Estonian company only after checking the foreign VAT number
and where sufficient evidence has been retained that the goods were actually
dispatched or delivered to the relevant Member State. A VAT number alone is not
sufficient. An invalid or mismatched number, an unavailable verification system,
collection of the goods from GreenOK’s office, or missing evidence of cross-border
transport means that VAT is applied or GreenOK’s accountant reviews the
transaction before acceptance.
An order is the buyer’s offer. A contract is concluded when GreenOK sends an
unequivocal acceptance or when the parties sign an individual agreement. Before
acceptance, GreenOK may check availability, delivery/product restrictions,
payment, sanctions and objective indicators of fraud risk.
The buyer pays within the period stated in the confirmation/invoice. Where the
provisions of the Civil Law on late payment under a contract for the supply or
purchase of goods apply, from the day after the payment deadline GreenOK may,
without a separate reminder, claim statutory late-payment interest, the EUR 40
debt recovery costs provided for in Article 1668.⁹ of the Civil Law, and proven
additional losses. This provision does not apply to a consumer or a natural
person who does not carry on business, and the same actual costs are not
recovered twice.
GreenOK may decline to accept a new B2B order offer until the buyer has paid a
previous undisputed and overdue invoice. This provision does not in itself
cancel an order already accepted.
3. Delivery, information and risk
The buyer provides the correct recipient, address, telephone number, delivery
restrictions and parameters needed for the goods. If delivery fails because of
incorrect or incomplete information from the buyer, an unavailable recipient,
an unjustified refusal or failure to collect, and neither GreenOK nor the carrier
is at fault, the B2B buyer reimburses documented actual additional costs of
correcting the address, carriage, return, storage, redelivery and, where legally
necessary, disposal. Redelivery takes place after these costs are paid in
advance. No fixed penalty or profit mark-up is applied in this situation.
The delivery period and the transfer of risk and ownership are determined by
the individual quotation, order confirmation or applicable law. GreenOK retains
the right to pursue the carrier, but each party preserves the delivery/damage
evidence available to it in good time.
If a B2B buyer delays acceptance of the goods, GreenOK may, after prior notice,
exercise the rights provided for in Article 408 of the Commercial Law, including
placing the goods in storage at the buyer’s expense and risk for a reasonable
charge. This provision is not a consumer withdrawal or return fee and does not
create an automatic penalty.
4. Inspection of goods, non-conformity and returns
The B2B buyer inspects the quantity, packaging, labelling, visible damage and
conformity with the written specification without undue delay after receipt.
Where possible, visible transport damage is recorded with the carrier and
reported to GreenOK; a concealed problem is reported after its discovery, while
preserving the product, batch, packaging and other evidence.
Where GreenOK and the buyer are merchants, Article 411 of the Commercial Law
applies: the buyer inspects the goods as soon as possible and immediately
notifies GreenOK of any defect found, stating its nature and extent. If a defect
discoverable on inspection is not reported in time, the goods are deemed accepted
and the buyer loses the rights under the second paragraph of Article 1620 of the
Civil Law to demand cancellation of the contract or a reduction in price. A
concealed defect must be reported immediately upon discovery; otherwise the
goods are deemed accepted with that defect too. This procedure does not apply
if GreenOK maliciously concealed/withheld the defect or expressly asserted that
the goods had specific properties. This is not a fixed 24- or 48-hour deadline
and does not mean that every possible claim automatically lapses.
The consumer’s 14-day right of withdrawal does not apply to a B2B purchase.
Return of conforming goods is possible only with GreenOK’s prior written
consent, specifying the goods, quantity, deadline, transport, safe packaging,
inspection, costs, valuation and method of refund.
GreenOK may refuse the return of conforming goods or, in its written consent,
require transport paid for by the buyer, unopened original labelled primary
packaging, the full quantity, a condition suitable for sale, and previously
agreed reasonable compensation for actual inspection, repackaging or loss in
value. GreenOK may refuse to accept a conforming consumable product that has
been opened, used, decanted, transferred to another container, mixed,
contaminated or reduced in quantity. Sending a parcel without agreement does
not in itself oblige GreenOK to accept it or issue a refund.
This provision does not cancel a written warranty, liability for
non-conformity with the approved specification, product safety/liability
obligations or any other right that the law does not allow to be excluded in
the particular transaction.
When reporting a possible non-conformity, the buyer, insofar as it is safe to
do so, stops using the goods, stores them in accordance with the label, retains
the labelled primary packaging, batch information, remaining quantity and other
available evidence, and gives GreenOK a reasonable opportunity to inspect the
goods. Unnecessary continued use, mixing or destruction of evidence may be
taken into account when assessing causation, evidence and recoverable losses;
it does not in itself cancel a justified claim.
5. Professional selection, storage and use
Before use, the professional buyer assesses the suitability of the goods for
the intended crop, method and conditions, and follows the current label, dose,
occupational safety requirements, storage temperature and mixing restrictions.
GreenOK is not liable for consequences demonstrably caused by the buyer’s
instructions, an incorrect dose, unintended use, improper mixing, contamination
or storage after the transfer of risk. This does not release GreenOK from
liability for goods that did not conform to the expressly agreed specification
at the time risk passed.
6. Liability and disputes
GreenOK is liable for proven losses to the extent determined by applicable
law and the particular written agreement. These online shop terms do not apply
a general cap on liability. An individual B2B agreement may provide for a
reasonable allocation of risk, but it cannot exclude liability that applicable
law does not allow to be excluded or limited.
The parties first seek to resolve a dispute in writing. Latvian law applies
to the contract. Disputes are heard by the competent court in accordance with
the applicable rules on jurisdiction and venue; these terms do not alter
mandatory jurisdiction.
